The ESG Literacy Hub Pty Ltd, ESG Alliance Membership Terms & Conditions

  1. Introduction
    These Terms & Conditions ("Terms") outline the rights and responsibilities of organisations ("Members") joining The ESG Literacy Hub Pty Ltd Alliance Membership ("Membership"). By registering as a Member, you agree to comply with these Terms.
     

  2. ESG Alliance Membership Terms

    1. ESG Alliance Membership is free for a period of 12 months from the date of acceptance.

    2. Membership benefits include logo placement on The ESG Literacy Hub Pty Ltd website, a dedicated feature page, and opportunities for collaboration at The ESG Literacy Hub Pty Ltd’s discretion.

    3. After the initial 12-month free Membership period, The ESG Literacy Hub Pty Ltd reserves the right to introduce fees for continued participation. If fees are introduced, Members will be notified at least 30 days in advance and may choose to cancel their Membership before the new fees take effect.

    4. The ESG Literacy Hub Pty Ltd reserves the right to modify membership terms, with reasonable notice to Members.
       

  3. Member Contributions & Intellectual Property

    1. Members agree to contribute content to The ESG Literacy Hub Pty Ltd, which may include case studies, participation in webinars, and providing content for The ESG Literacy Hub Pty Ltd initiatives, including course development.

    2. By submitting content, Members grant The ESG Literacy Hub Pty Ltd a perpetual, non-exclusive, worldwide, royalty-free license to use, modify, publish, and distribute the content in any format, including incorporation into paid courses.

    3. Members affirm they have the rights to any submitted content and that it does not infringe on third-party rights.

    4. Members consent to The ESG Literacy Hub Pty Ltd modifying and using their submitted content and waive any moral rights in the content to the extent permitted by law. The ESG Literacy Hub Pty Ltd will attempt to provide correct attributions where possible, but attribution is not guaranteed and does not require prior approval from Members.

    5. The ESG Literacy Hub Pty Ltd is not obligated to use all submitted content and retains editorial discretion.
       

  4. Talent Release for Video & Photo Content

    1. Members consent to The ESG Literacy Hub Pty Ltd recording, photographing, or otherwise capturing their participation in any Membership activities, including webinars and events.

    2. The ESG Literacy Hub Pty Ltd is granted full rights to use, reproduce, distribute, and publish any such recordings or photographs in promotional materials, educational resources, and commercial content without compensation to Members.

    3. Members grant The ESG Literacy Hub Pty Ltd the right to use their name, likeness, and voice in any media for promotional and educational purposes.

    4. Members waive any claims related to rights of privacy, publicity, or defamation arising from the use of such content.
       

  5. Code of Conduct

    1. Members agree to engage professionally, collaboratively, and in alignment with The ESG Literacy Hub Pty Ltd’s mission and values.

    2. Members shall not submit or engage in any conduct that is discriminatory, defamatory, misleading, or otherwise inappropriate.

    3. The ESG Literacy Hub Pty Ltd reserves the right to remove any content that does not meet these standards.
       

  6. Liability & Indemnity

    1. To the maximum extent permitted by law, The ESG Literacy Hub Pty Ltd disclaims all liability for any loss, damage, or claim arising from Membership participation or content use. Nothing in these Terms excludes rights that cannot be excluded under Australian law.

    2. Members indemnify The ESG Literacy Hub Pty Ltd against any legal claims, damages, or liabilities arising from their content or participation.
       

  7. Membership Termination

    1. Members may cancel their Membership at any time by providing written notice of at least 30 days to The ESG Literacy Hub Pty Ltd.

    2. The ESG Literacy Hub Pty Ltd may revoke Membership with at least 7 days’ written notice, except in cases of serious misconduct, where termination may be immediate.

    3. Serious misconduct includes, but is not limited to, breaches of these Terms, illegal activity, or activities that are contrary to The ESG Literacy Hub Pty Ltd’s values.

    4. Termination does not entitle the Member to any compensation or reinstatement.
       

  8. Dispute Resolution

    1. In the event of a dispute, both parties agree to engage in good faith discussions and, if necessary, mediation before pursuing legal action.
       

  9. Amendments to Terms

    1. The ESG Literacy Hub Pty Ltd may update these Terms at any time and will notify Members of significant changes.

    2. Continued participation in the Membership constitutes acceptance of any updated Terms.
       

  10. Governing Law

    1. These Terms are governed by and construed in accordance with the laws of Western Australia, Australia.

    2. Any disputes arising under these Terms shall be resolved in the courts of Western Australia.
       

  11. Severability

    1. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.
